• "Agreement" refers to these Terms and Conditions along with any engagement letter or service agreement

By accessing our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of our website and services.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accessing our services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Services Description

Galdric provides professional consulting services in the following practice areas:

• Diversity, Equity, and Inclusion Advisory
• Technology Due Diligence
• Family Office Advisory and Governance

Service specifications, deliverables, timelines, and fees are detailed in individual engagement letters or proposals. These engagement-specific terms supplement and form part of this Agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients.

4. User Responsibilities

Acceptable Use

You agree to use our website and services only for lawful purposes. You may not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems
• Use our services to harm, threaten, or harass others
• Misrepresent your identity or affiliation

Information Accuracy

You are responsible for ensuring that all information you provide to us is accurate, current, and complete. You agree to promptly update any information that becomes inaccurate or outdated.

5. Intellectual Property

License to Use

Upon full payment for consulting services, we grant you a limited, non-exclusive, non-transferable license to use deliverables for your internal business purposes. This license does not permit:

• Commercial resale or distribution of our deliverables
• Modification of deliverables without our consent
• Removal of proprietary notices or attribution
• Use of our methodologies to provide consulting services to third parties

Client Information

You retain ownership of information and data you provide to us. By engaging our services, you grant us a license to use this information solely for purposes of delivering consulting services and fulfilling our contractual obligations.

6. Payment Terms

Consulting fees are specified in engagement letters and proposals. Payment terms typically include:

• Fixed engagement fees payable according to agreed milestones
• Payment due within 30 days of invoice date unless otherwise specified
• Late payment subject to interest at 1.5% per month or the maximum permitted by law
• All fees quoted in Hong Kong Dollars unless otherwise stated

We do not work on contingency or success-fee arrangements to maintain objectivity in our recommendations.

Refund Policy

Consulting fees are generally non-refundable once work has commenced. In cases of early termination, fees are prorated based on work completed. Specific refund terms may be detailed in individual engagement letters.

7. Confidentiality

We maintain strict confidentiality regarding client information. We will not disclose confidential information except:

• With your explicit consent
• When required by law or regulatory authority
• To professional advisors bound by confidentiality obligations
• To service providers necessary for engagement delivery (under appropriate safeguards)

8. Disclaimers

Services Provided "As Is"

Our consulting services are provided based on professional judgment and available information. While we apply diligence and expertise, we make no warranties regarding specific outcomes or results. Our recommendations are advisory in nature and implementation decisions rest with clients.

Not Professional Advice

Our services do not constitute legal, accounting, or financial advice. Clients should consult appropriate licensed professionals for such matters. While our work may inform decision-making in these areas, we are not rendering opinions that should be relied upon as substitute for professional advice.

No Guarantee of Results

We do not provide outcomes or results. Organizational development and change involve multiple factors beyond our control. Our value proposition is professional expertise and methodology, not specific measurable outcomes.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim
• We are not liable for indirect, consequential, special, or punitive damages
• We are not liable for damages arising from client's implementation decisions or actions
• Claims must be brought within one year of the date when the claim arose

These limitations apply except where prohibited by law and do not limit liability for fraud, willful misconduct, or gross negligence.

10. Indemnification

You agree to indemnify and hold Galdric, its consultants, and affiliates harmless from any claims, damages, or expenses arising from: (a) your use of our services; (b) your violation of these terms; (c) your implementation of our recommendations; or (d) your violation of any rights of third parties.

11. Termination

Either party may terminate an engagement according to terms specified in the engagement letter. Upon termination:

• Client remains obligated to pay for work completed to date
• We will provide work product completed as of termination date
• Confidentiality obligations continue indefinitely
• Provisions that by their nature should survive termination remain in effect

12. Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Hong Kong for resolution of any disputes arising from these terms or our services.

Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith resolution through direct discussion. If resolution cannot be achieved within 30 days, either party may pursue formal dispute resolution.

13. General Provisions

Entire Agreement

These Terms and Conditions, together with any engagement letters and proposals, constitute the entire agreement between parties regarding use of our services and supersede all prior agreements or understandings.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions remain in full effect.

Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under this Agreement without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

14. Changes to Terms

We may update these Terms and Conditions periodically. Material changes will be communicated through:

• Notice on our website
• Direct communication to active clients when changes affect existing engagements

Continued use of our services after changes become effective constitutes acceptance of updated terms.
